Effective October 14, 2026. The signed-agreement sentences in sections 3, 9, and 10 were added October 16, 2026. Operated by Podz.ai LLC, a California limited liability company, Hollister, California. Earlier versions: legal document history.
These Terms govern access to and use of Podz (podz.ai), a web platform for program operations and responsibility management. By creating an account, accepting these Terms for an organization, or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Podz.
The person who creates an account or accepts these Terms for an organization must be at least 18 years old and authorized to bind that organization.
Students and other minors may use Podz only as participants in an organization whose administrator has accepted these Terms. A minor’s use does not make that minor the contracting party.
Podz is not directed to children under 13. We do not knowingly create accounts for children under 13. A school that needs under-13 use must contact us in writing at dpo@podz.ai before onboarding.
Podz.ai LLC provides tools for organizations to run programs and hold responsibility, including:
Optional AI assist (Cora) sends prompts to OpenAI or Google Gemini only when an organization uses that feature. SMS, Slack, Gmail automation, and AI assist stay off unless the organization enables them. Schools should leave those features off until their IT or privacy office approves them. See Security & trust.
The organization controls the people and program records it enters. Podz processes that data to provide the service, as described in the Privacy Policy and, when the parties sign one, a Data Processing Agreement.
If the organization and Podz.ai LLC sign a Data Processing Agreement, order, or other written agreement, that signed agreement controls over these Terms where they conflict. For a school, that includes a California Student Data Privacy Agreement (CA-NDPA) when that is the agreement the school signs. Where the signed agreement sets different terms for student data, breach notice, deletion, liability, or indemnification, those terms control. The general template at podz.ai/dpa.html does not set a higher liability cap than section 9. A school that needs a different cap, indemnification, or the CA-NDPA should negotiate that in the signed copy. Posting a revision to these Terms, or continued use of Podz after a revision, does not change a signed agreement. A signed agreement changes only in the way that agreement describes.
You agree to use Podz in compliance with applicable law, and not to:
Our Privacy Policy describes how we collect, use, and share personal data. We do not sell personal data, and we do not use it for third-party advertising.
The Podz service, including its software, design, and trademarks, belongs to Podz.ai LLC or its licensors. The organization keeps its rights in the content and records it submits. You may not copy or redistribute the service except as these Terms allow.
You may stop using Podz at any time. We may suspend or end access if you violate these Terms, if we must do so to comply with law, or if we discontinue the service. Sections that by their nature should survive, including intellectual property, disclaimers, liability limits, and governing law, survive termination.
Podz is provided “as is” and “as available.” To the extent permitted by law, Podz.ai LLC disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the extent permitted by law, Podz.ai LLC and its members, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of the use of Podz. Our total liability for a claim relating to the service will not exceed the amount the organization paid us for the service in the twelve months before the claim, or one hundred U.S. dollars if the organization paid nothing. Where a signed agreement sets a different limit, or where the law does not allow this limit, the signed agreement or the law controls.
We may update these Terms by posting a revised version on this page and changing the effective date. If a change is material, we will also provide notice on the site or by email to the account owner. Continued use after the effective date constitutes acceptance of the revised Terms. That continued-use rule does not amend a signed Data Processing Agreement or other signed agreement.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in the State of California have exclusive jurisdiction over disputes arising out of these Terms or the use of Podz, and each party consents to that venue.
